Terms and Conditions
Welcome to Concord Technosoft Pvt Ltd. These Terms and Conditions ("Terms") are a legally binding agreement between you ("Client", "you", or "your") and Concord Technosoft Pvt Ltd ("Company", "we", "us", or "our") regarding the provision of IT services, software development, consultation, and related digital solutions ("Services"). By accessing, using, or engaging our services, you acknowledge and agree to abide by these Terms. If you do not accept these Terms, please refrain from using our Services.
1. Scope of Services
Concord Technosoft Pvt Ltd provides a broad range of IT and digital development services including, but not limited to:
- Custom software development (web, mobile, desktop)
- SaaS and cloud-based solutions
- UI/UX design and branding
- System architecture and consulting
- Database management and optimization
- Ongoing technical support and maintenance
- API development and third-party integrations
The specifics of any engagement-including timelines, deliverables, pricing, and payment terms-will be defined in a mutually agreed Statement of Work (SOW), proposal, or service contract.
2. Project Engagement and Deliverables
Upon approval of a project proposal or SOW:
- Concord Technosoft Pvt Ltd will allocate qualified personnel and resources.
- Deliverables shall be clearly defined and provided in accordance with the timeline in the agreement.
- Requests for changes outside the original scope will be treated as a Change Request and may incur additional charges and timeline adjustments.
Concord Technosoft Pvt Ltd shall not be held liable for delays caused by the Client's failure to provide timely input, approvals, or access.
3. Payment Terms
All payments are non-refundable unless otherwise agreed in writing by Concord Technosoft Pvt Ltd. Click Here to learn more about our payment terms.
4. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information shared during the engagement. Confidential information includes, but is not limited to:
- Business plans and strategies
- Source code and intellectual property
- Client data and internal communications
This obligation continues for three (3) years after termination of services.
5. Source Code Ownership
Unless explicitly requested in writing by the client and agreed upon by Concord Technosoft Pvt Ltd, all intellectual property rights, including but not limited to source code, scripts, designs, methodologies, and software architecture, developed during the engagement shall remain the sole and exclusive property of Concord Technosoft Pvt Ltd.
If the client requests access to the source code, Concord Technosoft Pvt Ltd may, at its discretion, grant access. However:
- Such access does not transfer ownership.
- The client is granted a non-exclusive, non-transferable, non-sublicensable license to use the code solely for the intended purpose defined in the project scope.
- The client is not permitted to claim the code as their own, rebrand, resell, replicate, or redistribute it, in part or in whole, without prior written consent from Concord Technosoft Pvt Ltd.
- The client may not use the software in any manner that competes with Concord Technosoft Pvt Ltd or infringes on Concord Technosoft Pvt Ltd's intellectual property rights.
Violations of this clause may result in termination of license/services and legal action.
6. Client Responsibilities
The Client agrees to:
- Provide clear requirements and timely feedback
- Share access credentials and relevant materials
- Ensure all shared content and data is properly licensed or owned
- Comply with all applicable laws while using the delivered product
7. Non-Solicitation
During the engagement and for twelve (12) months after termination, the Client agrees not to directly or indirectly hire or solicit any Concord Technosoft Pvt Ltd employees or contractors involved in the project without written consent.
Violation will result in a penalty equal to 12 months' compensation of the individual.
8. Limitation of Liability
To the fullest extent permitted by law:
- Concord Technosoft Pvt Ltd shall not be liable for indirect, incidental, or consequential damages including lost profits or business disruption.
- Concord Technosoft Pvt Ltd's maximum liability is limited to the total fees paid for the relevant service.
Concord Technosoft Pvt Ltd does not warrant that services will be error-free, uninterrupted, or meet the Client's specific expectations unless explicitly stated.
9. Warranty and Support
Unless otherwise agreed in writing:
- All services are provided "as-is" without warranties of any kind.
- Bugs reported within 30 days of final delivery will be fixed at no extra cost.
- Ongoing support and feature updates are subject to separate agreements.
Any unauthorized modifications void support and warranty obligations.
10. Termination
This agreement may be terminated:
- By either party with 15 days' notice if a material breach is not cured.
- Immediately by Concord Technosoft Pvt Ltd in cases of non-payment or IP violations.
Upon termination:
- All outstanding dues must be paid immediately.
- License rights are revoked if applicable.
- Concord Technosoft Pvt Ltd may delete hosted data after 30 days unless agreed otherwise.

11. Governing Law and Jurisdiction
These Terms are governed by the laws of Delhi, India. All disputes are subject to the exclusive jurisdiction of the courts located in Delhi, India.
12. Amendments and Severability
- Concord Technosoft Pvt Ltd reserves the right to update or modify these Terms at any time without prior notice. Clients are responsible for regularly reviewing the Terms available on our website to stay informed of any changes.
- If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms, along with any signed project agreements or addenda, represent the entire agreement between the Client and Concord Technosoft Pvt Ltd and supersede any prior understandings or arrangements.
